1. Parties and Acceptance

These Terms of Service ("Terms") are an agreement between Serkan Özmen, an individual sole proprietor trading as StokMeta (address: Ufuk Mah. 893 Sok. No: 6/1, Buca / İzmir, Türkiye; e-mail: destek@stokmeta.com) ("Stokmeta", "we") and the person using the Stokmeta website and application (together, the "Service") ("User", "you"). By registering for or using the Service you accept these Terms.

Please also read our Privacy Policy and Refund Policy. For consumers in Türkiye, the Distance Sales Agreement (Turkish) also applies to paid subscriptions.

2. The Service

Stokmeta is a software-as-a-service tool for stock photographers and digital content creators. It analyses the images you upload with artificial intelligence, suggests an English title, description, keywords and category, and exports them in the CSV template of the stock agency you select.

• Stokmeta does not upload images to stock agencies. It only produces CSV files; you upload them on the agency's site yourself.
• Stokmeta has no partnership, agency or reseller relationship with any stock agency. Agency names are used only to indicate compatibility.
• Up to 50 images can be uploaded at once; video is not supported.

3. Eligibility

You must be at least 18 years old and have full legal capacity to use the Service.

4. Your Account

You are responsible for all activity under your account and for keeping your password confidential. You agree to provide accurate, current and complete information and to notify us promptly of any unauthorised use.

5. Subscriptions, Payment and Cancellation

• Plans. The Service is offered in paid plans with monthly usage limits, billed monthly or yearly. Current prices and limits are shown on the pricing page.
• Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payments are collected and invoices issued by Paddle.com Market Ltd. or its affiliate; your card details are never shared with Stokmeta. Your purchase is also subject to the Paddle Buyer Terms.
• Prices and taxes. Prices are in US dollars (USD) and include VAT or similar taxes applicable in your country; the price shown is the total you pay. The tax amount is shown separately at checkout and on the invoice. Your bank may apply currency conversion fees.
• Free trial. New users get a free trial of 3 days or 10 images, whichever comes first. No payment card is required and the trial does not convert into a paid plan automatically.
• Automatic renewal. Subscriptions renew automatically for the same period, and the fee is charged, unless cancelled before the end of the current period.
• Cancellation. You can cancel at any time from your account or the Paddle customer portal. Cancellation takes effect at the end of the current billing period; you keep access until then and are not charged again.
• Refunds. Payments are non-refundable except as described in our Refund Policy or where required by law.
• Price changes. We may change prices. Existing subscribers will be notified by e-mail at least 30 days in advance, and the new price applies only from the next renewal after that notice. If you do not agree, you may cancel before the renewal.

6. Right of Withdrawal

The Service is a digital service supplied immediately: usage limits become available as soon as the subscription starts. Under Article 15(1)(ğ) of the Turkish Distance Contracts Regulation, there is no right of withdrawal for a billing period whose performance has begun, provided you consented to immediate performance at checkout. You can test the Service free of charge before buying.

This section does not limit the rights granted to you under the Refund Policy of Paddle.com Market Ltd., our Merchant of Record: Paddle grants consumers in Türkiye a 14-day right of withdrawal from the transaction date, grants statutory withdrawal rights to consumers in the EU/EEA, Switzerland and the UK, and may consider refund requests made within 14 days at its discretion. If a refund is issued, access to the paid plan ends. Mandatory consumer rights under applicable law remain unaffected.

7. Acceptable Use

You agree not to:

• upload images that are unlawful or infringe third-party copyright, trademark, personality or other rights;
• upload images of identifiable persons without the necessary permissions or releases;
• reverse engineer the Service, abuse it with automated tools, or attempt to circumvent usage limits;
• share, rent or transfer your account to third parties.

8. Intellectual Property and Your Images

You retain all rights in, and sole responsibility for, the images you upload; Stokmeta claims no ownership of them. You grant us a temporary, limited licence to process them solely to generate metadata. AI-generated metadata is a suggestion that you may freely use; you are responsible for checking it before submitting to stock agencies. The software, design and brand of the Service belong to Stokmeta.

9. Availability and Changes to the Service

The Service may be temporarily interrupted for maintenance or because of provider outages. If our AI provider changes or discontinues its models, we will try to offer an equivalent solution. If we discontinue the Service entirely, we will notify users at least 30 days in advance and refund fees for unused, prepaid periods.

10. Limitation of Liability

The Service is not guaranteed to be uninterrupted or error-free. Except in cases of intent or gross negligence, Stokmeta is not liable for indirect damages such as rejection of metadata by stock agencies or restrictions on your agency account. In any case, our liability is limited to the subscription fee paid for the relevant period. Mandatory consumer rights remain unaffected.

11. Suspension, Termination and Data Export

We may warn, suspend or close accounts that breach these Terms (immediately for serious breaches). You may close your account at any time. Before closing it, we recommend exporting your metadata as CSV from the History page; after closure, records are deleted within the periods stated in the Privacy Policy and cannot be recovered.

12. Changes to These Terms

We may update these Terms. Material changes will be announced by e-mail or in-app notice and the version number will be increased. Continuing to use the Service after the changes take effect means you accept them; if you do not, you may close your account.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Türkiye. Consumers may apply to the Consumer Arbitration Committees or Consumer Courts of their place of residence or of the transaction, within the monetary limits set each year; consumers resident in other countries also keep the protection of the mandatory laws of their country of residence. For non-consumers, the courts and enforcement offices of the service provider's place of residence have jurisdiction.
